Terms and conditions of bndr GmbH for contracts concluded via this website and the offerings of bndr.company.
This is a courtesy translation. In case of doubt or dispute, the German version of this document is legally binding.
1) Scope
1.1 These terms and conditions (“T&C”) of bndr GmbH (the “Seller”) apply to all contracts for the supply of goods concluded between a consumer or business (the “Customer”) and the Seller in respect of the goods presented by the Seller. The inclusion of the Customer's own terms is hereby rejected unless agreed otherwise.
1.2 These T&C apply accordingly to contracts for the supply of vouchers unless otherwise provided.
1.3 These T&C apply accordingly to contracts for the supply of tickets unless expressly provided otherwise.
1.4 These T&C apply accordingly to contracts for the provision of digital content unless otherwise provided.
1.5 A consumer within the meaning of these T&C is any natural person who enters into a legal transaction for purposes which are predominantly outside their trade, business or profession.
1.6 A business within the meaning of these T&C is a natural or legal person or a partnership with legal capacity acting in the exercise of their trade, business or profession when concluding a legal transaction.
2) Conclusion of contract
2.1 The product descriptions on the Seller's website do not constitute binding offers by the Seller but serve to enable the Customer to submit a binding offer.
2.2 The Customer may submit the offer via the online order form integrated into the Seller's website.
2.3 The Seller may accept the Customer's offer within five days.
3) Right of withdrawal
3.1 Consumers are generally entitled to a right of withdrawal.
3.2 Further information on the right of withdrawal can be found in the Seller's withdrawal instructions.
4) Prices and payment terms
4.1 Unless stated otherwise in the Seller's product description, the prices quoted are total prices including statutory VAT.
5) Delivery and shipping terms
5.1 If the Seller offers shipping of the goods, delivery takes place within the delivery area stated by the Seller to the delivery address specified by the Customer.
6) Granting of usage rights for digital content
6.1 Unless the content description states otherwise, the Seller grants the Customer the non-exclusive right, unlimited in time and territory, to use the content provided for private as well as commercial purposes.
7) Term and termination of subscription contracts
7.1 Subscription contracts are concluded for an indefinite period and may be terminated by the Customer at the end of any month.
8) Retention of title
If the Seller performs in advance, it retains title to the delivered goods until the purchase price owed has been paid in full.
9) Liability for defects (warranty)
Unless otherwise provided in the following provisions, the statutory rules on liability for defects apply.
10) Liability
10.1 The Seller is liable without limitation on any legal ground in cases of intent or gross negligence, in the event of intentional or negligent injury to life, body or health, on the basis of a warranty promise, and on the basis of mandatory liability such as under the German Product Liability Act.
10.2 If the Seller negligently breaches a material contractual obligation, liability is limited to the foreseeable damage typical for this type of contract.
10.3 Otherwise, liability of the Seller is excluded.
11) Special terms for processing goods to customer specifications
11.1 If, in addition to supplying the goods, the Seller also owes the processing of the goods according to specific customer requirements, the Customer must provide the Seller with all content required for such processing.
12) Special terms for assembly and installation services
If, in addition to supplying the goods, the Seller also owes the assembly or installation of the goods at the Customer's premises, the statutory provisions apply.
13) Special terms for repair services
If the Seller owes the repair of an item belonging to the Customer, repair services are performed at the Seller's registered office.
14) Redemption of promotional vouchers
Vouchers issued by the Seller as part of promotional campaigns can only be redeemed through the Seller's offerings and only within the stated period.
15) Redemption of gift vouchers
Vouchers that can be purchased can only be redeemed through the Seller's offerings.
16) Applicable law
All legal relationships between the parties are governed by the law of the Federal Republic of Germany, excluding the laws on the international sale of movable goods.
17) Place of jurisdiction
If the Customer acts as a merchant, a legal person under public law or a special fund under public law with its seat in the territory of the Federal Republic of Germany, the exclusive place of jurisdiction for all disputes arising from this contract is the Seller's place of business.
18) Alternative dispute resolution
The Seller is neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board.
19) Disclaimer for AI-generated content
bndr.company and other companies led by Felix Bender use artificial intelligence (AI) technologies as part of creative services — in particular for moving image, visualisation and design projects. The content produced in this way is subject to inherent systemic and technical limitations.
Deviations in the representation may therefore occur, for example in proportions, materials, lighting conditions or movement sequences, which do not correspond to the actual or planned object. Such deviations are due to the technology and do not constitute a defect within the meaning of warranty law.
Liability for any misunderstandings, misinterpretations or third-party claims resulting from AI-generated depictions is excluded, subject to intentional or grossly negligent conduct.
